1. About these terms

We provide ecommerce growth services including creative production, media buying, Shopify store development, product research, and shipping operations. The specific scope, deliverables, fees and timelines are set out in the proposal or statement of work signed with you.
3. Fees & payment
Fees are invoiced as agreed in your engagement. Ad spend on third-party platforms (e.g. Meta) is billed directly to you. Late payments may attract interest as permitted by Indian law.
4. Intellectual property
Creative deliverables developed for you become your property on full payment, except for tools, templates, frameworks and pre-existing IP which remain ours. We may use anonymized performance data and non-confidential case study material to promote our services.
5. Confidentiality
Each party agrees to keep the other's confidential information in confidence and use it only for the purpose of the engagement.
6. Performance
We commit to professional effort, established processes and timely communication. We do not guarantee specific revenue, ROAS or campaign outcomes; ecommerce performance depends on factors outside our control.
7. Termination
Either party may terminate the engagement with notice as specified in your proposal. On termination, fees for work completed remain payable.
8. Liability
To the maximum extent permitted by law, our aggregate liability under any engagement is limited to the fees paid by you to us in the three (3) months preceding the claim.
9. Governing law
These terms are governed by the laws of India. Courts at New Delhi have exclusive jurisdiction.
